Licence, Risk Disclosure & Educational Use Policy

1. What You Are Buying

A single-user licence for the CMP Trade Manager, a NinjaScript add-on for NinjaTrader 8. The tool sizes a position to a fixed risk you set, places a stop on entry, trails it, takes partials at levels you set, and flattens before the close.

It takes no trades on its own. There are no signals and no entries. You decide when to buy or sell. The tool handles the mechanics after that decision is made, and every one of those decisions remains yours.

2. Risk Disclosure

In line with CFTC Rule 4.41, any examples involving simulated or hypothetical results have inherent limitations: they do not represent actual trading, and may not account for liquidity, slippage, execution or other real market conditions. No representation is made that any account will achieve results similar to those shown.

3. Delivery & Access

After payment you will receive the add-on file and install instructions by email, normally within one business day. "Lifetime" means the file is yours to keep and use indefinitely. Updates are provided at our discretion for as long as we maintain the product.

The tool requires NinjaTrader 8 and your own data feed and broker connection. These are third parties with their own costs and terms, and you are responsible for holding them.

4. Your Right To Cancel

As a consumer you normally have 14 days to cancel a purchase of digital content and receive a refund. That right is lost once we begin supplying the content, but only if you have expressly asked us to start straight away and acknowledged that you lose the right by doing so.

By signing this agreement you expressly request immediate delivery and acknowledge that you lose your 14-day right to cancel once delivery has begun. If you would rather keep that right, do not sign. Email support@cmptradingroom.com and we will hold delivery until the 14 days have passed.

This does not affect your rights if the software is faulty, not as described, or not fit for the purpose we described. See section 7.

5. Licence Grant & Use Restrictions

CMP Trading Room Ltd grants you a personal, non-exclusive, non-transferable, single-user licence to use the Trade Manager on your own NinjaTrader installation. All source code, compiled files and documentation remain the exclusive intellectual property of CMP Trading Room Ltd.

You may not share, resell, sublicense, lend, gift or otherwise transfer the file; copy, decompile, disassemble or reverse-engineer it; create derivative works from it; or publish anything that reveals or reconstructs its underlying logic.

Because the file sits on your own machine and cannot be recalled, breach of this section is treated seriously and may result in permanent loss of support and updates, and further legal action where appropriate.

6. What This Is Not

CMP Trading Room Ltd is not authorised or regulated by the Financial Conduct Authority. We do not provide investment advice, personal recommendations, portfolio management or any regulated financial service. We never hold client money and never place trades for anyone.

Any chart, trade or figure shown by us illustrates a process. It is not a representation of typical results and does not predict future performance.

7. Our Responsibility, And Its Limits

Nothing in this agreement excludes or limits our liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, for fraud, and for your statutory rights as a consumer. We are responsible for supplying software that is of satisfactory quality, fit for the purpose we described, and as described, and we do not exclude those rights.

Subject to the above, we are not liable for trading losses arising from your own decisions; for platform outages, order rejections, data errors, latency or broker issues; or for failures caused by your hardware, software or internet connection. Where we are liable, our total liability is limited to the amount you paid for the Trade Manager.

8. Indemnification

You agree to indemnify and hold harmless CMP Trading Room Ltd and its affiliates against any claims, damages or expenses (including reasonable legal fees) arising from your breach of this agreement, or from any misuse, unauthorised distribution or illegal use of the Trade Manager.

9. Termination & Enforcement

We may withdraw support and updates without refund if you breach section 5. We will tell you why, in writing, before we do so. If a payment is reversed, we may withdraw support while we resolve it with you. Please contact us before raising a dispute with your bank, as most issues are quicker to fix directly.

We may modify, update or discontinue the Trade Manager at our discretion. Where a change materially reduces what you receive, we will tell you by email before it takes effect.

10. Your Data

We collect your name and email address to deliver and support the software, and we keep a record of this agreement and the date you signed it. We do not sell your data. Full detail is in our privacy policy at cmptradingroom.com/privacy-policy/.

11. Governing Law

This agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If you live elsewhere in the UK or in the EU, you keep the benefit of any mandatory consumer protections that apply where you live. This agreement sits alongside our Terms of Service; where the two conflict, this agreement applies to this product.

12. Final Acknowledgment

By signing below you confirm that: this is software and education, not financial advice, and that CMP Trading Room Ltd is not FCA authorised; the tool gives no signals and takes no trades on its own, and every trading decision is yours; automated order handling can fail and you remain responsible for monitoring your own positions; you have read the risk disclosure and understand no result is promised; you have NinjaTrader 8 and the data feed and broker connection it requires; you agree to the licence restrictions in section 5; you expressly request immediate delivery and accept that this ends your 14-day right to cancel; and you are 18 or over and have read this agreement, our terms of service and our privacy policy.
